Fibonacci Tools General Terms of Use

These General Terms of Use (the “Terms”) govern your use of the Fibonacci Tools website and every product and service operated by Fibonacci Tools LLC, a Pennsylvania limited liability company (“Fibonacci Tools,” “we,” “us,” or “our”). The website and each product are individually and collectively the “Services.”

1. Product-Specific Terms

Individual products have their own terms covering what is specific to them — how that product handles your content, what its acceptable-use limits are, how it is paid for, and so on. Those product terms supplement these Terms; both apply to your use of that product.

Where a product’s terms conflict with these Terms, the product’s terms control for that product. Everything not addressed by a product’s terms is governed by these Terms.

By using a product, you agree to both these Terms and that product’s terms.

You must be at least 18 years old, or the age of majority where you live, to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms for it.

Unless otherwise stated, the Services and their contents — including text, graphics, logos, design, software, and code — belong to Fibonacci Tools or its licensors. You may use the Services for personal or legitimate business purposes as permitted by these Terms and any applicable product terms. This section does not affect your ownership of content you submit to a product. Content ownership and the licence you grant us to operate that product are addressed in the product’s own terms.

4. Acceptable Use

You may not use the Services to:

violate applicable law or the rights of others;
interfere with, attack, probe, or overload the Services or their infrastructure;
introduce malware or other malicious code;
circumvent authentication, access controls, or usage limits; or
access or collect information through methods we have not authorized.

Individual products may impose additional restrictions.

5. Feedback

If you send us feedback about any of the Services, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction, obligation, or compensation. Please do not include confidential information in feedback.

6. Third-Party Services

The Services may link to, or interoperate with, products and services operated by third parties. We are not responsible for third-party content, availability, security, or privacy practices. Review the applicable third party’s terms and privacy policy before using its services.

7. Changes to the Services and to These Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms as our business or the Services change. The “Last Updated” date above reflects the most recent revision.

Changes apply going forward only. They do not alter the terms that governed your use of the Services before the change took effect, and they do not apply retroactively to a dispute that has already arisen.

For material changes we will give notice through the Services or by other reasonable means. If you do not agree to a change, your remedy is to stop using the affected Service and, if you wish, ask us to close your account. Continued use after a change takes effect constitutes acceptance of the updated Terms to the extent permitted by law.

8. Disclaimer

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any content or output they produce is accurate or suitable for your purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fibonacci Tools LLC and its members, managers, officers, and employees will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of data, profits, business opportunity, or goodwill, arising from your use of, or inability to use, the Services.

To the maximum extent permitted by applicable law, our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the applicable Service during the 12 months before the claim or 100 US dollars.

10. Indemnification

You will indemnify and hold harmless Fibonacci Tools LLC from claims, damages, and reasonable costs arising from your use of the Services, content you submit, or your breach of these Terms or any applicable product terms.

11. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. You and Fibonacci Tools agree to the exclusive jurisdiction and venue of the state and federal courts located in Pennsylvania for any dispute relating to the Services.

Nothing in these Terms prevents either party from bringing an individual claim in small claims court.

12. Geographic Scope

Fibonacci Tools is operated from the United States. The Services are not directed to individuals resident in the European Union, European Economic Area, or United Kingdom. We make no representation that the Services are appropriate or available in other locations. If you access the Services from outside the United States, you are responsible for compliance with local law.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

The following applies only to the Fibonacci Tools website, not to our products.
